Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Dreamarkable LLC, which operates the LLC for Humans service ("LLC for Humans," "we," "us," or "our"). These Terms govern your use of llcforhumans.com (the "Site") and the services offered through it (the "Services").

By visiting the Site, creating an account, or placing an order, you accept these Terms. If you do not agree, do not use the Site or Services. You must be at least 18 years old and able to enter a binding contract.

Section 15 contains a binding arbitration provision and class action waiver that affects how disputes are resolved.

1. LLC for Humans Is Not a Law Firm

LLC for Humans is a business filing and self-help service. We are not a law firm, attorney, or tax adviser. We do not provide legal or tax advice, legal opinions, or legal representation. Using the Services does not create an attorney-client relationship or privilege.

We provide standardized administrative filing services at your specific direction. Human review is limited to administrative completeness and filing readiness; it is not a review of legal sufficiency. Staff may explain how the Services work, what an intake question requests, and the status of an order. Staff cannot explain or interpret legal provisions, recommend legal, governance, or tax choices, or customize legal documents for you.

If you need legal advice, you may consult any California attorney. You may also contact Appelblatt Mazzola LLP. Any representation by that firm is separate from LLC for Humans, is subject to the firm's acceptance and engagement terms, and is not part of the Services. LLC for Humans does not receive referral compensation or share in legal fees.

2. The Services

The formation service allows you to provide facts for a supported California limited liability company, review and authorize a filing packet, and direct us to manually submit the authorized information to the California Secretary of State as your filing agent. We track the filing and deliver accepted state documents through the customer portal.

The invitation beta supports a defined standard company profile, including one California domestic LLC with exactly one natural-person owner and an ordinary nonprofessional business purpose. If an order is unsupported or requires legal judgment, we may pause it for review, decline it and refund all amounts paid, or suggest that you consult an attorney.

The $209 formation service does not include an Operating Agreement or another optional service unless the separate service and price are expressly displayed and purchased. We do not prepare negotiated or customized legal documents.

California restricts LLCs from providing certain licensed professional services, and an LLC may not be appropriate for every business. You are responsible for confirming that an LLC is lawful and appropriate for your business.

3. Your Responsibilities

You represent that you are authorized to act for the company being formed and that all information you provide is accurate, current, and complete. You must review the filing packet before authorizing submission and promptly report anything that appears inaccurate. We are not responsible for problems caused by information that you supplied or approved when our filing accurately reflects that information.

4. Fees and Payment

The formation purchase is a one-time payment of $209: a $139 LLC for Humans service fee and a separate $70 California state filing fee collected as a pass-through charge. No subscription or automatic renewal is included.

Your company may owe other government charges after formation, including California annual tax and Statement of Information fees. Those charges are your responsibility unless a checkout expressly says they are included. Payments are processed by Stripe. You authorize the exact amount displayed at checkout.

5. Cancellations and Refunds

Before submission to the California Secretary of State, you may cancel the formation order through support. We will refund the $139 service fee and the unremitted $70 state fee.

After state submission, the formation order cannot be cancelled. The service fee and state fee are not refundable by LLC for Humans. If the state issues a refund of a state fee, we will pass that refund through to you.

If we decline an unsupported order before submission, we will refund all amounts paid. Refunds return to the original payment method and may take up to ten business days to appear, depending on your bank.

6. Corrections and Errors

If a submitted filing or delivered document does not match the information you supplied and approved because of an error introduced by LLC for Humans, we will correct the error at our expense, including any required corrective state filing and state fee, and refund the service fee for the affected order.

If we catch and correct an internal error before state submission and before document delivery, and it does not affect your information or timeline, the remedy is the correction itself and no service-fee refund is due.

If the problem results from inaccurate or incomplete information that you supplied or approved, a correction may require a new paid order and additional state fees. If the problem is caused by state processing, we will assist with resubmission or escalation without an additional service fee; state-fee treatment depends on the state's action.

7. No Guarantee of Outcome

We do not guarantee name availability, state acceptance, processing time, or any legal, tax, or business result. Entity choice, tax classification, licensing, and ongoing compliance depend on your circumstances and should be addressed with appropriate legal or tax professionals.

8. Intellectual Property

The Site, Services, software, designs, templates, and content are owned by Dreamarkable LLC or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable license to use documents delivered for your company's internal business purposes. You may not resell or republish our templates or use the Services to provide services to third parties.

9. Acceptable Use; Right to Refuse

You may not provide false information, impersonate anyone, use the Services for an unlawful purpose, probe or disrupt our systems, scrape protected content, or interfere with other customers. We may suspend accounts or decline orders that violate these Terms. A pre-submission order that we decline will be refunded in full.

10. Third-Party Services

The Services rely on third parties, including Stripe, infrastructure and email providers, and the California Secretary of State. We are not responsible for their acts, omissions, availability, processing times, or policies.

11. Privacy and Public Records

Our Privacy Policy describes how we collect, use, share, and retain information. Information included in filings with the California Secretary of State, including names and addresses shown on filed documents, may become part of the public record. Anyone may view public records, and LLC for Humans cannot remove them.

12. Disclaimer of Warranties

Except as expressly stated in these Terms, the Site and Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Some limitations may not apply where prohibited by law.

13. Limitation of Liability

To the fullest extent permitted by law, Dreamarkable LLC and its owners, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Total liability for claims relating to an order will not exceed the amount paid for that order during the twelve months before the event giving rise to the claim. These limits do not apply to liability that cannot legally be limited.

14. Indemnification

You agree to indemnify and hold harmless Dreamarkable LLC and its owners, employees, and agents from claims, damages, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, violation of law, or inaccurate information you provide.

15. Binding Arbitration and Class Action Waiver

Before filing a claim, you and LLC for Humans agree to try to resolve the dispute informally. A party may begin that process by sending a written description of the dispute. Notices to us must be sent to help@llcforhumans.com. If the dispute is not resolved within 30 days, either party may proceed as described below.

Except for the exceptions below, any dispute arising from these Terms, the Site, or the Services will be resolved by binding individual arbitration before one arbitrator, administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be seated in Sacramento County, California, or, at your election, conducted remotely or through written submissions. Judgment on the award may be entered in any court with jurisdiction. We will pay arbitration fees exceeding the court filing fee you would otherwise pay unless the arbitrator finds your claim frivolous.

Either party may bring an individual claim in small claims court or seek injunctive relief in court to protect intellectual property.

All disputes must be brought individually. Neither party may participate in a class action, class arbitration, or representative proceeding. If this waiver is unenforceable for a particular claim, only that claim will proceed in court and the remainder of this section stays effective.

You may opt out of arbitration by emailing help@llcforhumans.com within 30 days after first accepting these Terms. Include your name and a clear statement that you opt out of arbitration. Opting out does not affect the other Terms.

16. Governing Law and Venue

California law governs these Terms without regard to conflict-of-law principles. Subject to Section 15, the state and federal courts located in Sacramento County, California have exclusive jurisdiction.

17. Changes to These Terms

We may update these Terms. Material changes will be communicated by email or through the Site before they take effect. Changes apply prospectively and do not alter the terms governing an order already placed.

18. General

These Terms, the Privacy Policy, the Refund Policy, and the terms displayed at checkout form the entire agreement about the Services. If a provision is unenforceable, the remainder remains effective. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets with notice to you. A failure to enforce a provision is not a waiver.
